These notices apply to the whole of this website and to any material obtained through it.

This website is published by Oasis Capital Management, a Cayman Islands exempted company and the appointed investment manager to Oasis Capital Catalyst Fund SPC (the “Fund”), a Cayman Islands exempted company registered as a segregated portfolio company.

No offer and no solicitation

Nothing on this website constitutes an offer to sell, or the solicitation of an offer to buy, any security, nor does it constitute investment, legal, tax or accounting advice or a recommendation of any kind. Participating shares in the Fund are offered solely by means of the Fund’s confidential private placement memorandum, the supplement relating to the relevant segregated portfolio and the subscription agreement (together, the “Offering Documents”), each of which should be read in full. In the event of any inconsistency between this website and the Offering Documents, the Offering Documents prevail.

No offer is made in any jurisdiction in which such an offer or solicitation is not authorised, or to any person to whom it is unlawful to make such an offer or solicitation. No invitation may be made to the public in the Cayman Islands to subscribe for participating shares in the Fund.

Intended audience

The information on this website is directed only at persons who are sophisticated investors, professional clients, institutional investors or high net worth persons, and for whom an investment of this kind is suitable. It is not directed at retail investors or at the general public, and it should not be relied upon by them.

Participating shares may be subscribed for only by investors who satisfy the eligibility criteria set out in the subscription agreement, who are not prohibited persons as defined in the Fund’s articles of association, and who supply the information required for anti-money-laundering, counter-terrorist-financing, sanctions and tax information reporting purposes.

US persons may not invest in the Fund unless they are both “accredited investors” within the meaning of Rule 501 of Regulation D under the US Securities Act of 1933 and “qualified purchasers” within the meaning of section 2(a)(51) of the US Investment Company Act of 1940, and are acceptable to the directors of the Fund in their sole discretion. The participating shares have not been registered under the US Securities Act of 1933 or the securities laws of any state, and the Fund is not registered under the US Investment Company Act of 1940.

Jurisdictional restrictions

The distribution of the information on this website and the offering of participating shares may be restricted in certain jurisdictions. It is the responsibility of any person accessing this website to inform themselves of, and to observe, all applicable laws and regulations of any relevant jurisdiction, including any applicable exchange control regulations and tax obligations in the country of their citizenship, residence or domicile.

Risk

An investment in the Fund involves significant risk, including the risk of loss of the entire amount invested, and is suitable only for investors who can bear that loss, who have no need for immediate liquidity, and for whom the investment does not constitute a complete investment programme. The Fund may use leverage, may take short positions and may invest in derivative instruments, each of which can increase the magnitude and speed of losses. Redemptions may be suspended, gated, satisfied in kind or side-pocketed in the circumstances described in the Offering Documents.

The statutory segregation of the assets and liabilities of a segregated portfolio under Part XIV of the Companies Act has not been exhaustively tested in the courts of the Cayman Islands or in foreign courts, and a court outside the Cayman Islands may not recognise that segregation.

Performance

No performance information is published on this website, and none should be inferred from anything appearing on it. Where performance information is provided to eligible investors separately, past performance is not a guide to future performance, the value of an investment and the income from it may fall as well as rise, and an investor may not get back the amount invested.

Any statement on this website about intentions, targets, objectives or future events is forward-looking. Regulatory status

The Fund falls to be regulated by the Cayman Islands Monetary Authority (“CIMA”) as a mutual fund under the Mutual Funds Act (as amended). Oasis Capital Management conducts securities investment business with sophisticated persons and high net worth persons within the framework of the Securities Investment Business Act (as amended). The current regulatory particulars of the Fund and of the investment manager are set out in the Offering Documents.

Regulation by CIMA does not imply that CIMA has endorsed or approved any offering by the Fund, nor does CIMA vouch for the creditworthiness, solvency or performance of the Fund. The participating shares have not been filed with, or approved or disapproved by, any regulatory authority of any country or jurisdiction, and no such authority has passed upon or endorsed the merits of any offering or the accuracy or adequacy of the Offering Documents. Any representation to the contrary is unlawful.
